It happens to me when I minus out of the game too much and go back in, but I always just restart the game and it works fine, but I am pretty sure that this is a hardware issue, so try disabling shadows and night shadows, that really helps

Are you running any background programs? Check your task manager to see if any are hidden.

I only run Teamspeak and my internet security

Is VSync enabled? If so, disable it, and turn down your graphic settings in-game. If that doesn't work, maybe try a fresh install of GTA IV?

My posted CommandLine disables v-sync + the OP had already tried a fresh reinstall.

Yeah I am doing my third fresh install now. I am looking at upgrading to 8 or 16gb RAM, will this help?

Now it has just stopped at the bit where it says installing DirectX. Im using a disc copy btw
