Strictly speaking, MSI Afterburner can be used with any game on a large variety of cards (including non-MSI cards) so in that respect, yes, you can certainly use it with GTA.  Overclocking is very common and, if done correctly and safely, it can sometimes improve performance in games depending on how far you overclock.  It appears that your GTX 420 is probably going to be the deciding factor on how well GTA will run, as well, so overclocking is likely to help at least a little bit.

 

You have to keep in mind though that overclocking leads to extra heat output, so remember to monitor temperatures.
